In its recent publication, Glass Lewis recited the Key trends so far this Proxy Season.

     Some cited are as follows:

  • Proposals to establish the right to call a Special Meeting or to reduce the bar to do so were the most prevalent.

  • The issue of human capital management concerning all of the issues involving diversity, harassment, and others are resulting in increasing disclosures on these issues;

  • Climate change continues to be an investor focus;

  • Performance of auditors and their accountability;

  • More disclosure concerning board make-up, diversity, and refreshment;

 

 There are many more trends reported – creating an interesting change in the landscape of Corporate Governance.
