Laurel Hill has been active as proxy solicitor on mergers, as well as information agent on tender offers, Dutch auctions, and consent solicitations. Our expertise in identifying and communicating with arbitrageurs and institutions provides the market intelligence needed to get successful results for our clients. When a client has a sizable retail shareholder base, we have been able to effectively use both telephone and mail campaigns to increase the participation. This is critical in obtaining 90% for a short form merger or getting sufficient votes in a merger, particularly if the vote requirement is a super-majority.
When we are retained, we break down the shareholder base into it’s components, then project results based on various scenarios, if appropriate. This gives our clients the road map to determine what may be necessary to insure success. We then put together a list of the top institutions and arbitrageurs for contact and follow up. During the entire process, we are in touch with the shareholders, tabulator or depositary, and the client and it’s advisors to communicate both results and expectations through the meeting date or deal expiration. This provides the client with the information to make informed decisions and avoid any last minute surprises.
